Terms of Service & Subscription Billing Agreement

Effective Date: October 29, 2026 | Governing Law: State of Florida

Stripe Billing Disclosure: All subscriptions and credit card/ACH payments are processed securely through Stripe, Inc. By subscribing or entering payment information, you authorize recurring charges in accordance with these Terms.

1. Overview and Acceptance

These Terms of Service ("Agreement") constitute a legally binding agreement between the subscriber or client ("Customer", "Subscriber", "you") and Tajiri Group LLC ("Company", "we", "us", or "our").

By entering your payment details via our Stripe Checkout, signing an onboarding statement of work, or managing your account through the Stripe Customer Portal, you agree to comply with and be bound by these terms.

2. Recurring Billing & Payment Processing

Tajiri Group LLC utilizes Stripe, Inc. ("Stripe") as its third-party payment processor for automated recurring billing, invoicing, and payment facilitation.

  • Continuous Billing Authorization: By enrolling in a recurring subscription plan and providing card or bank details, you authorize Tajiri Group LLC to charge your designated payment method on a recurring cycle (monthly or annually) in advance of service delivery.
  • PCI Compliance: All credit card, debit card, and banking information is processed directly by Stripe on certified PCI-DSS Level 1 compliant infrastructure. Tajiri Group LLC does not store raw credit card numbers or security CVV/CVC codes on its local servers.
  • Currency & Charges: All fees are stated and charged in United States Dollars (USD). Invoices and digital receipts are generated automatically via Stripe and sent to your primary billing email address.

3. Subscription Tiers & Pricing Architecture

Tajiri Group LLC provides tiered digital infrastructure, CRM snapshot deployments, and managed marketing automations under the following standardized rates:

Service / Subscription Tier Initial Setup Fee (One-Time) Recurring Retainer Rate Commitment Term
Foundational Cut (Essentials) $497.00 $197.00 / month 3 Months
Brilliant Cut (Growth Suite) $659.00 – $997.00 $497.00 / month 12 Months (1 Year)

Marquise Cut (Enterprise Authority) $1,997.00 $997.00 – $1,497.00 / month 12 Months (1 Year)

4. Usage-Based & Third-Party Pass-Through Fees

Base subscription retainers cover platform access, hosting, and technical management. Subscribers are directly responsible for third-party consumption fees billed to their sub-accounts:

  • A2P 10DLC Messaging Fees: Telephony carrier vetting, campaign registration, and per-message SMS/MMS carrier surcharges.
  • Excess Usage Rebilling: High-volume outbound voice minutes and email deliverability services exceeding plan baselines.
  • Direct Ad Budgets: Media ad budgets paid to Google, Meta, or third-party ad networks are separate and funded directly by Customer.

5. Cancellation, Minimum Terms & Liquidated Damages

  • Fixed Minimum Terms: Certain subscription tiers carry mandatory initial terms (e.g., 12 months for Brilliant Cut; 24 months for Princess Cut) to offset upfront engineering, API deployment, and snapshot provisioning.
  • Early Termination Fee (Liquidated Damages): If a term-bound contract is terminated prior to term completion, Customer agrees to pay 50% of the remaining unpaid subscription balance as liquidated damages to compensate for upfront configuration labor. This amount will be charged via Stripe to the payment method on file.
  • Cancellation Notice: Following the completion of mandatory contract terms, accounts renew month-to-month and may be canceled with thirty (30) days written notice submitted via email to [email protected] or via the Stripe Customer Portal.
  • Non-Refundable Setup Fees: All upfront onboarding, registration, and technical implementation fees are non-refundable once technical work has begun.

6. Failed Payments & Suspension Policy

  • Retry Schedule: If a scheduled charge fails via Stripe, Stripe Smart Retries will attempt re-collection over a 14-day window.
  • Service Suspension: Accounts with payments past due for more than 14 calendar days may experience temporary feature suspension (e.g., automated SMS text-backs and CRM workflows).
  • Account Deactivation: Invoices remaining unpaid for more than 35 calendar days will result in formal account termination and de-provisioning of sub-accounts.

7. Dispute Resolution & Chargeback Policy

Customer agrees to submit any billing questions or invoice disputes in writing to [email protected] prior to initiating a dispute or chargeback with their banking institution. If an unauthorized or fraudulent chargeback is filed in violation of this Agreement, Tajiri Group LLC reserves the right to charge a $15.00 administrative dispute fee and seek recovery of all outstanding fees plus reasonable collection costs and attorney fees.

8. Intellectual Property & Work for Hire

  • Client Deliverables: Custom logos, branded client website graphics, and client-facing copy created specifically for Customer are considered "works produced for hire" and transfer to Customer upon full payment of upfront and term subscription fees.
  • Agency Proprietary IP: Tajiri Group LLC retains exclusive proprietary ownership of underlying GoHighLevel snapshot architectures, automation blueprints, AI prompt systems, workflow templates, and code libraries. Subscribing grants Customer a revocable, non-transferable license to use these assets during the active subscription period.

9. Governing Law & Jurisdiction

This Agreement is governed by and construed in accordance with the laws of the State of Florida. The parties agree that exclusive jurisdiction and venue for any legal dispute arising from this Agreement shall reside in the state or federal courts located in Broward County, Florida. In any enforcement proceeding, the prevailing party is entitled to recover reasonable attorney fees and legal expenses.
